Terms of Service

1Definitions

For purposes of these Terms:

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with Wiseguard.

"Content" means any information, text, data, software, graphics, images, reports, alerts, scores, recommendations, analyses, communications, documents, audio, video, or other materials made available through the Services.

"Services" means all products, software, websites, browser extensions, applications, APIs, reports, dashboards, monitoring systems, communications, support services, and future offerings operated by Wiseguard.

"Third Party" means any individual, organization, government authority, service provider, partner, vendor, platform, data broker, public records provider, insurer, telecommunications provider, credit bureau, financial institution, or entity other than Wiseguard.

"User Data" means any information submitted, uploaded, transmitted, generated, or otherwise made available by or relating to a User.

2Description of Services

Wiseguard is a privacy, identity protection, and digital security platform. The Services may include, without limitation:

• Privacy exposure monitoring
• Exposure Score calculations
• Data broker removal services
• Privacy request submission services
• Public records monitoring
• Search engine monitoring
• Dark web monitoring
• Breach monitoring
• Identity monitoring
• Email alias services
• Phone alias services
• Virtual identity tools
• Password management
• Authentication services
• Browser protection
• VPN services
• Credit monitoring
• Identity restoration assistance
• Identity theft insurance offerings through third parties
• Family plans
• Business plans
• Team plans
• Enterprise services
• APIs
• Artificial intelligence-powered tools
• Future products and services

Wiseguard reserves the right, in its sole and absolute discretion, to modify, expand, restrict, suspend, replace, or discontinue any portion of the Services at any time, with or without notice.

3No Professional Advice

The Services are provided for informational, educational, privacy management, and security assistance purposes only.

Nothing provided through the Services shall constitute:

• Legal advice
• Financial advice
• Tax advice
• Insurance advice
• Credit advice
• Investment advice
• Cybersecurity consulting
• Professional services of any kind

You acknowledge that any decision made based upon information provided through the Services is made solely at your own risk.

4Eligibility

You represent and warrant that:

• You are at least eighteen (18) years of age
• You possess the legal capacity to enter into binding agreements
• You are not prohibited from using the Services under applicable law
• All information provided by you is true, complete, accurate, and current

Wiseguard reserves the right to suspend or terminate any account if Wiseguard reasonably believes that eligibility requirements are not satisfied.

5User Representations and Warranties

You represent, warrant, and covenant that:

• You own or possess all rights necessary to submit User Data
• You have authority to request removal of any information submitted for privacy-related services
• You will not use the Services for unlawful purposes
• You will not submit false, fraudulent, misleading, or inaccurate information
• Your use of the Services shall comply with all applicable laws and regulations

You acknowledge that Wiseguard relies upon these representations in providing Services.

6Data Removal Services Disclaimer

Wiseguard may assist users in locating, monitoring, identifying, reporting, suppressing, or requesting removal of personal information from third-party sources.

To the maximum extent permitted by law, Wiseguard does not own, control, operate, or manage any data broker, people-search website, search engine, public records database, information aggregator, or third-party information source.

Accordingly, Wiseguard does not warrant, guarantee, or represent that:

• Any request will be accepted
• Any information will be removed
• Any information will remain removed
• Any response will be received
• Any third party will comply
• Any search result will be de-indexed
• Any exposure will be eliminated

All data removal services are provided on a commercially reasonable, best-effort basis only.

7Exposure Score Disclaimer

The Services may generate Exposure Scores, Privacy Scores, Risk Scores, Security Scores, Identity Risk Ratings, Fraud Indicators, Recommendations, Alerts, and similar outputs. You acknowledge and agree that:

• Such outputs are generated using proprietary methodologies
• Such outputs may contain inaccuracies, omissions, assumptions, estimations, or errors
• Such outputs do not constitute guarantees of privacy, security, identity safety, or risk level
• Such outputs should not be relied upon as definitive assessments of actual risk

Wiseguard expressly disclaims all liability arising from reliance upon any score, alert, recommendation, or output generated through the Services.

8Artificial Intelligence Disclaimer

Certain Services may utilize artificial intelligence, machine learning, predictive models, large language models, automated decision systems, or related technologies. You acknowledge that:

• AI-generated outputs may be inaccurate
• AI-generated outputs may be incomplete
• AI-generated outputs may become outdated
• AI-generated outputs may contain errors

Wiseguard makes no warranty regarding the accuracy, completeness, reliability, or fitness of AI-generated content. All AI outputs must be independently verified by the user.

9Disclaimer of Warranties

To the maximum extent permitted under applicable law, the Services are provided on an "as is," "as available," and "with all faults" basis.

Wiseguard disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of:

• Merchantability
• Fitness for a particular purpose
• Title
• Non-infringement
• Security
• Accuracy
• Availability
• Reliability
• Performance

Without limiting the foregoing, Wiseguard does not warrant that:

• The Services will be uninterrupted
• The Services will be error-free
• The Services will be secure
• Any data will be removed
• Any identity theft will be prevented
• Any fraud will be prevented
• Any data breach will be detected
• Any risk will be eliminated

Your use of the Services is entirely at your own risk.

10Limitation of Liability

To the maximum extent permitted by law, in no event shall Wiseguard, its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, or partners be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or privacy, or for any identity theft, fraud-related, or cybersecurity losses, arising out of or related to the Services.

In no event shall Wiseguard's aggregate liability exceed the greater of:

• INR 10,000; or
• The total amount actually paid by you to Wiseguard during the twelve (12) months preceding the event giving rise to the claim.

11Subscriptions, Billing, and Automatic Renewal

Certain Services are offered on a subscription basis. By purchasing a subscription, you agree to pay all fees, charges, taxes, and assessments associated with the applicable subscription plan.

All fees are stated in the applicable currency and are non-refundable except as expressly required by applicable law.

Wiseguard reserves the right to modify pricing, subscription structures, features, benefits, usage limits, and plan offerings at any time. Any pricing changes shall become effective at the beginning of the next billing cycle following notice to you.

Unless cancelled prior to renewal, subscriptions shall automatically renew for successive periods equal to the original subscription term.

By purchasing a subscription, you expressly authorize Wiseguard and its payment processors to charge your designated payment method on a recurring basis until cancelled.

Failure to maintain a valid payment method may result in suspension or termination of Services.

Wiseguard shall have no obligation to provide refunds for:

• Partial subscription periods
• Unused Services
• User dissatisfaction
• Failure to utilize Services
• Removal requests that remain pending
• Monitoring alerts not received
• Service modifications
• Feature discontinuation

12Free Trials, Promotions, and Credits

Wiseguard may offer free trials, promotional offers, discounts, referral incentives, credits, or similar programs. Wiseguard reserves the right, in its sole discretion, to determine eligibility for any promotion and to revoke, modify, suspend, or terminate any promotional offer at any time.

Unless otherwise stated, promotional credits:

• Have no cash value
• Are non-transferable
• Are non-refundable
• May expire without notice

At the conclusion of any free trial period, applicable subscription fees may automatically commence unless cancelled prior to renewal.

13Email Alias Services

Wiseguard may provide email alias functionality designed to enhance user privacy. Users acknowledge and agree that:

• Email delivery depends upon third-party networks and providers
• Wiseguard cannot guarantee delivery, forwarding, receipt, availability, or permanence of any communication
• Third parties may reject, filter, delay, quarantine, block, or otherwise restrict messages associated with aliases
• Certain websites, applications, merchants, financial institutions, and government entities may prohibit or restrict use of aliases

Wiseguard reserves the right to suspend, modify, disable, reclaim, reassign, or terminate any alias that:

• Violates applicable law
• Violates these Terms
• Creates security risks
• Is associated with abusive activity
• Impairs operation of the Services

Wiseguard shall not be liable for any loss arising from alias suspension, filtering, blocking, forwarding failures, or message delivery issues.

14Phone Alias and Communication Services

Wiseguard may provide virtual telephone numbers, forwarding services, messaging services, communication masking services, and related offerings. You acknowledge and agree that:

• Telecommunications services depend upon third-party carriers and infrastructure
• Availability may vary by geography
• Call quality may vary
• SMS delivery may fail
• Certain entities may refuse virtual numbers
• Emergency calling functionality may not be available

Wiseguard expressly disclaims all liability arising from failed or delayed communications, missed messages, service interruptions, telecommunications failures, or third-party carrier actions.

Users remain solely responsible for complying with all telecommunications laws and regulations.

15Credit Monitoring Services Disclaimer

Certain Services may include credit monitoring, credit-related alerts, credit report access, score monitoring, identity monitoring, or related features. Such services may be provided by independent third parties, including credit bureaus and data providers.

Wiseguard does not:

• Generate credit reports
• Maintain credit files
• Determine credit scores
• Control credit bureau data

Accordingly, Wiseguard shall not be liable for:

• Inaccurate credit information
• Delayed updates
• Reporting errors
• Bureau failures
• Monitoring interruptions

Users acknowledge that credit-related information may contain inaccuracies originating from third-party sources.

16Identity Theft Monitoring Disclaimer

Wiseguard may provide identity monitoring, fraud monitoring, breach monitoring, account monitoring, and identity restoration assistance. However, no monitoring service can detect all threats.

Wiseguard does not represent, warrant, or guarantee that identity theft, fraud, or account takeover will be prevented, or that all unauthorized activity, breaches, or threats will be detected or reported.

Users remain solely responsible for monitoring financial accounts, credit reports, tax records, government records, and other sensitive accounts.

17Insurance Disclaimer

Certain Services may include insurance-related benefits made available through third-party insurers. Wiseguard is not an insurance company, insurance broker, claims administrator, underwriter, or insurance carrier unless expressly stated otherwise.

Any insurance product offered through the Services shall be governed exclusively by:

• The applicable insurance policy
• The insurer's terms
• Applicable insurance regulations

Coverage determinations, claim decisions, eligibility determinations, exclusions, limitations, and benefit payments shall be made solely by the applicable insurer.

Wiseguard shall have no liability arising from:

• Coverage denials
• Claim denials
• Delayed claim processing
• Policy exclusions
• Benefit limitations

18Business, Team, and Family Accounts

Wiseguard may provide Services designed for organizations, teams, families, or groups. The account administrator acknowledges and agrees that they possess all authority necessary to:

• Create accounts
• Manage subscriptions
• Configure settings
• Authorize users
• Receive account information

Users participating in such accounts acknowledge that administrators may have access to certain account information and administrative controls. Wiseguard shall have no liability arising from actions taken by account administrators.

19Intellectual Property Rights

The Services, including all software, technology, designs, content, reports, algorithms, methodologies, trademarks, service marks, logos, trade names, interfaces, databases, and intellectual property embodied therein, are owned exclusively by Wiseguard and its licensors. No ownership rights are transferred to Users.

Except as expressly authorized, Users shall not:

• Copy
• Modify
• Distribute
• Sell
• License
• Reverse engineer
• Create derivative works from
• Exploit commercially

any portion of the Services. All rights not expressly granted are reserved.

20Feedback License

If you submit suggestions, comments, ideas, recommendations, improvements, enhancements, feedback, or similar communications regarding the Services ("Feedback"), you hereby grant Wiseguard a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, distribute, commercialize, and otherwise exploit such Feedback for any purpose without restriction or compensation.

You waive any claim to compensation arising from Wiseguard's use of Feedback.

21Indemnification

You agree to defend, indemnify, and hold harmless Wiseguard, its affiliates, officers, directors, employees, contractors, licensors, vendors, partners, successors, and assigns from and against any and all claims, demands, actions, proceedings, damages, judgments, settlements, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable law
• Your misuse of privacy-related services
• Your submission of false information
• Your infringement of third-party rights
• Your negligent or wrongful conduct

Wiseguard reserves the right to assume exclusive control of any matter subject to indemnification.

22Force Majeure

Wiseguard shall not be liable for any delay, interruption, degradation, suspension, failure, or inability to perform resulting from causes beyond its reasonable control, including:

• Natural disasters
• Pandemics
• Cyberattacks
• Utility failures
• Internet outages
• Telecommunications failures
• Government actions
• Labor disputes
• Civil unrest
• War
• Acts of terrorism
• Vendor failures
• Third-party service disruptions

The affected obligations shall be suspended for the duration of the force majeure event.

23Termination

Wiseguard reserves the right, in its sole discretion and without liability, to suspend, restrict, disable, or terminate any account or access to the Services at any time, with or without notice, for any reason including:

• Violation of these Terms
• Fraud
• Abuse
• Security concerns
• Legal requirements
• Business reasons

Upon termination:

• Your access rights shall immediately cease
• Wiseguard may delete associated information
• Outstanding obligations shall survive termination

Termination shall not limit any rights or remedies available to Wiseguard.

24Survival

The following provisions shall survive termination:

• Intellectual Property Rights
• Disclaimers
• Limitation of Liability
• Indemnification
• Governing Law
• Dispute Resolution
• Payment Obligations
• Any provision that by its nature should survive termination

25Dispute Resolution, Arbitration, Class Action Waiver, and Jury Trial Waiver

Please read this Section carefully. This Section affects your legal rights, including your right to file a lawsuit in court, participate in a class action, or have claims heard by a judge or jury.

To the maximum extent permitted by applicable law, you and Wiseguard agree to resolve disputes through individual binding arbitration except as expressly provided herein.

25.1 Scope of Disputes

This Section applies to any and all disputes, claims, controversies, causes of action, or proceedings arising out of or relating to:

• These Terms
• The Services
• Any subscription
• Any purchase
• Any communication
• Any advertising or marketing
• Any privacy-related service
• Any data removal activity
• Any monitoring service
• Any alleged breach of these Terms
• Any relationship between you and Wiseguard

whether arising in contract, tort, statute, regulation, common law, equity, or otherwise. This provision shall be interpreted broadly.

25.2 Informal Resolution Requirement

Before initiating arbitration or legal proceedings, the parties agree to first attempt good-faith informal resolution. A party seeking to initiate a dispute must provide written notice containing:

• Name
• Contact information
• Account identifier (if applicable)
• Description of the dispute
• Requested resolution

Notice to Wiseguard shall be sent to legal@wiseguard.ai. The parties shall have thirty (30) days from receipt of notice to attempt resolution. No arbitration may be initiated until the informal resolution period has expired.

25.3 Binding Arbitration

If a dispute cannot be resolved informally, the dispute shall be resolved exclusively through final and binding arbitration. Arbitration shall be conducted by a neutral arbitrator.

The arbitration shall:

• Be conducted in English
• Be confidential
• Be conducted electronically where permitted
• Be governed by applicable arbitration rules then in effect

The arbitrator shall have exclusive authority to resolve all disputes concerning:

• Interpretation of these Terms
• Enforceability of these Terms
• Arbitrability of claims
• Scope of this arbitration provision

The arbitrator may award any remedy available under applicable law on an individual basis only.

25.4 Arbitration Location

Unless otherwise required by applicable law:

• Arbitration shall occur in Bengaluru, Karnataka, India; or
• Remotely through mutually agreed electronic means

Wiseguard reserves the right to participate remotely.

25.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek relief in a court of competent jurisdiction for injunctive relief to prevent unauthorized access, intellectual property infringement, misappropriation of confidential information, or security violations; may pursue eligible disputes in small claims court on an individual basis where permitted by law; and nothing herein prevents a party from filing complaints with governmental authorities.

25.6 Class Action Waiver

To the maximum extent permitted by law, you and Wiseguard agree that all claims shall be brought solely in an individual capacity. You waive any right to participate in, or act as a representative or member of, any class, collective, representative, or private attorney general action.

No arbitration or proceeding may be combined with another without the express written consent of all parties.

25.7 Jury Trial Waiver

To the maximum extent permitted by law, you and Wiseguard knowingly, voluntarily, and irrevocably waive any right to a trial by jury. Any dispute shall be resolved exclusively in accordance with this Section.

25.8 Consolidation Waiver

Claims may not be consolidated. No arbitrator shall have authority to:

• Consolidate claims
• Join parties
• Conduct representative proceedings
• Conduct class proceedings

Each dispute must be resolved independently.

25.9 Arbitration Costs

Each party shall bear its own legal fees and expenses unless otherwise awarded by the arbitrator or required by applicable law. Administrative fees and arbitrator fees shall be allocated in accordance with applicable arbitration rules.

25.10 Confidentiality

All arbitration proceedings shall be confidential. The parties agree not to disclose arbitration filings, evidence, testimony, awards, or settlements, except as required by law or necessary to enforce an award.

25.11 Opt-Out Right

Users residing in jurisdictions where arbitration waivers are enforceable may opt out of this arbitration provision by sending written notice within thirty (30) days of first accepting these Terms. The opt-out notice must include:

• Full name
• Email address
• Account identifier
• Statement clearly requesting arbitration opt-out

Failure to timely opt out shall constitute acceptance of this arbitration provision.

25.12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

25.13 Exclusive Jurisdiction

For disputes not subject to arbitration, you agree that such disputes shall be brought exclusively before the courts located in Bengaluru, Karnataka, India. You irrevocably consent to the personal jurisdiction of such courts.

25.14 Limitation Period

To the maximum extent permitted by law, any claim arising out of or relating to the Services must be commenced within one (1) year after the event giving rise to the claim. Any claim not commenced within such period shall be permanently barred.

25.15 Severability

If any portion of this Section is determined to be invalid or unenforceable, the remaining portions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to become enforceable. However, if the Class Action Waiver is found unenforceable with respect to a particular claim, such claim shall proceed exclusively in a court of competent jurisdiction and not in arbitration.

26Miscellaneous

These Terms constitute the entire agreement between you and Wiseguard regarding the Services.

Wiseguard may assign these Terms, in whole or in part, without restriction. Users may not assign their rights or obligations without prior written consent.

Failure to enforce any provision shall not constitute a waiver. Section headings are for convenience only and shall not affect interpretation.

Electronic records and electronic signatures shall have the same force and effect as physical documents and handwritten signatures.

28Acceptance of Terms

By accessing, registering for, purchasing, subscribing to, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must immediately discontinue use of the Services.
